General Terms and Conditions for the use of Mimiq AI

1. Scope and Definitions

1.1 Scope

These Terms of Service govern your use of Mimiq AI ("Service"), an AI-powered product-research simulation platform provided by Victor Gulchenko ("Provider", "we", "us", "our").

1.2 Definitions

  • User / Customer: Any person or entity using the Service
  • Account: User's registered profile on the platform
  • Simulation: An AI-generated product-research run
  • Personas: AI-generated synthetic participant profiles, not recruited people
  • Credits: Units used to access Service features

2. Service Description

Mimiq helps product teams pressure-test a product decision through AI-generated synthetic research. Depending on the feature and availability, the Service may include:

  • Reactions to a page, prototype, product flow, or product question
  • AI-generated personas and simulated browser journeys
  • Structured decision briefs, evidence, and follow-up questions
  • Saved simulation and report history where available

Important: Mimiq does not recruit real participants for a standard simulation. Results are probabilistic AI output, can be inaccurate or biased, and are designed to inform what to test next. They are not a substitute for real-customer research, professional advice, or a guarantee of market or conversion outcomes.

3. Registration and Account

3.1 Account Creation

To use certain features, you must create an account. You agree to:

  • Provide accurate, current information
  • Maintain and update your information
  • Keep your account credentials secure
  • Not share your account with others
  • Notify us immediately of unauthorized access

3.2 Eligibility

You must be at least 16 years old to use the Service. By creating an account, you represent that you meet this requirement.

3.3 Account Termination

You may request account deletion at any time by emailing victor@mimiqai.com. Account-wide deletion is currently handled manually and remains subject to billing, security, backup, and legal-retention requirements described in the Privacy Policy. We may suspend or terminate accounts that violate these Terms.

4. Pricing and Payment

4.1 Free or Promotional Access

We may offer limited guest usage, free credits, or other promotional access. Eligibility and limits are shown in the product or offer. Free credits do not automatically renew or reset on a monthly schedule unless we expressly say so.

4.2 Paid Credits

Additional credits can be purchased through our payment provider (Stripe). Prices are displayed before purchase.

4.3 Billing

  • Prices, currency, applicable taxes, and the final total are shown at checkout
  • Stripe processes payment details; Mimiq does not receive your full card number
  • Billing records and receipts are provided through the configured Stripe checkout and billing flow

4.4 Refunds

Consumed credits are generally non-refundable. Refunds, cancellation rights, and remedies remain available where required by applicable law. Contact victor@mimiqai.com if a paid run fails or you believe a charge is incorrect.

4.5 Credit Expiration

Unless a purchase offer expressly states otherwise, purchased credit packs do not expire. Promotional or free credits may have separate limits shown with the offer and have no promised recurring reset.

5. Acceptable Use

5.1 Permitted Use

You may use the Service for legitimate business purposes, including:

  • Pressure-testing product ideas, pages, prototypes, and flows
  • Generating hypotheses for further product research
  • Exploring simulated customer perspectives
  • Using documented API endpoints and approved integrations with your own credentials

5.2 Prohibited Activities

You agree not to:

  • Reverse engineer, decompile, or disassemble the Service except where applicable law permits it
  • Scrape the Service, bypass documented interfaces, evade rate or credit limits, or use automation that disrupts the Service
  • Share, expose, or misuse API keys or other account credentials
  • Attempt to gain unauthorized access to systems or data
  • Upload malicious code or harmful content
  • Violate applicable laws or regulations
  • Infringe intellectual property rights
  • Use the Service for illegal or harmful purposes
  • Impersonate others or provide false information
  • Resell or redistribute the Service without permission

6. Intellectual Property

6.1 Our Intellectual Property

The Service, including software, design, content, and trademarks, is owned by the Provider and protected by intellectual property laws.

6.2 Your Content

As between you and Mimiq, you retain your rights in content you submit. You give us and our service providers a limited right to host, reproduce, transmit, and process that content as needed to operate, secure, and support the Service. You represent that you have the rights and permissions needed to submit it.

6.3 Generated Content

Subject to applicable law and third-party rights, you may use the simulation output we provide to you. AI-generated output may not be unique, may resemble output provided to others, and may not qualify for intellectual-property protection in every jurisdiction.

7. Data and Privacy

Our collection and use of personal data is described in our Privacy Policy, which is incorporated into these Terms by reference.

Key points:

  • URLs, prompts, uploads, optional customer imports, and generated reports can contain personal or confidential data; submit only what you are authorised to process
  • We use AWS and AWS Bedrock for infrastructure and model inference, Clerk for authentication, and Stripe for payments
  • If you explicitly consent and it is configured, PostHog processes limited product-analytics events as described in the Privacy Policy
  • We retain account, simulation, report, and log data as described in the Privacy Policy; account-wide deletion is currently handled by request
  • Public report sharing is optional. Anyone with a public report link may be able to view its sanitised, read-only contents

8. Service Availability and Modifications

8.1 Availability

We strive to maintain high availability but do not guarantee uninterrupted access. Maintenance, updates, or technical issues may cause temporary unavailability.

8.2 Modifications

We may improve, modify, suspend, or discontinue features. Current pricing is shown before purchase, and pricing changes do not retroactively change completed purchases. We will provide notice of material changes where required by applicable law.

8.3 Beta Features

Beta or experimental features are provided "as-is" and may be unstable or incomplete.

9. Disclaimers and Limitations of Liability

9.1 Service Disclaimer

To the maximum extent permitted by applicable law, and without limiting mandatory consumer rights, the Service is provided "as is" and "as available" without implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

9.2 AI-Generated Content Disclaimer

Simulation results are AI-generated and should not be considered legal, medical, financial, or other professional advice or definitive market research. We do not guarantee their accuracy, completeness, reliability, representativeness, or predictive power. You are responsible for reviewing output and validating important decisions with appropriate real-world evidence.

9.3 Limitation of Liability

To the maximum extent permitted by applicable law, we are not liable for:

  • Indirect, incidental, special, or consequential damages
  • Loss of profits, data, or business opportunities
  • Damages arising from use or inability to use the Service
  • Actions taken based on simulation results

Where a liability cap is legally permitted, our aggregate liability relating to the Service will not exceed the amount you paid for it in the 12 months before the event giving rise to the claim.

9.4 Statutory Rights

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited, including liability for intentional misconduct, gross negligence, or death or personal injury where such a limitation is prohibited. Nothing in these Terms limits your mandatory statutory rights as a consumer.

10. Indemnification

If you use the Service on behalf of a business, then, to the extent permitted by applicable law, that business agrees to indemnify and hold harmless the Provider from third-party claims, damages, losses, or reasonable expenses arising from:

  • Your violation of these Terms
  • Your violation of applicable laws
  • Your infringement of third-party rights
  • Content you submit to the Service

11. Termination

11.1 By You

You may stop using the Service at any time. To request account-wide deletion, email victor@mimiqai.com. The current product does not complete account-wide deletion automatically from Settings.

11.2 By Us

We may terminate or suspend your access immediately if you:

  • Violate these Terms
  • Engage in fraudulent activity
  • Create risk or legal exposure

11.3 Effect of Termination

Upon termination:

  • Your right to use the Service ends immediately
  • Unused credits become unavailable, subject to any rights you have under applicable law
  • Data is retained or deleted according to the Privacy Policy and the manual deletion-request process
  • Provisions that should survive termination (liability, indemnification) remain in effect

12. Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of Germany, excluding conflict-of-law provisions. If you are a consumer, this choice does not deprive you of mandatory protections that apply in your country of residence.

12.2 Jurisdiction

Courts with jurisdiction under applicable law may hear disputes. Nothing in these Terms restricts a consumer's right to use a court or remedy available under mandatory law.

12.3 Contact Before a Claim

Please contact victor@mimiqai.com first so we can try to resolve the issue informally. This does not limit any statutory deadline or legal right.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us.

13.2 Severability

If any provision is found invalid or unenforceable, the remaining provisions remain in full effect.

13.3 Waiver

Failure to enforce any right or provision does not constitute a waiver.

13.4 Assignment

You may not assign these Terms without our consent. We may assign them in connection with a reorganisation, financing, merger, acquisition, or transfer of the Service, subject to applicable law.

13.5 Language

These Terms are provided in English. In case of conflict between translations, the English version prevails.

14. Changes to Terms

We may update these Terms as the Service or applicable requirements change. The current version and effective date will be posted here. For material changes, we may also provide notice through the Service or by email where appropriate or legally required. Your continued use after the effective date means the updated Terms apply, except where applicable law requires a different form of consent.
